It's official: Disney acquires Pixar for $7.4 billion, Steve
Jobs joins Disney Board of Directors
Furthering its strategy of delivering outstanding creative
content, Robert A. Iger, President and Chief Executive
Officer of The Walt Disney Company, announced today that
Disney has agreed to acquire computer animation leader Pixar
in an all-stock transaction, expected to be completed by
this summer. Under terms of the agreement, 2.3 Disney shares
will be issued for each Pixar share. Based on Pixar's fully
diluted shares outstanding, the transaction value is $7.4
billion ($6.3 billion net of Pixar's cash of just over $1
billion).*
This acquisition combines Pixar's preeminent creative and
technological resources with Disney's unparalleled portfolio
of world-class family entertainment, characters, theme parks
and other franchises, resulting in vast potential for new
landmark creative output and technological innovation that
can fuel future growth across Disney's businesses. Garnering
an impressive 20 Academy Awards, Pixar's creative team and
global box office success have made it a leader in quality
family entertainment through incomparable storytelling
abilities, creative vision and innovative technical
artistry.
"With this transaction, we welcome and embrace Pixar's
unique culture, which for two decades, has fostered some of
the most innovative and successful films in history. The
talented Pixar team has delivered outstanding animation
coupled with compelling stories and enduring characters that
have captivated audiences of all ages worldwide and
redefined the genre by setting a new standard of
excellence," Iger said in the press release. "The addition
of Pixar significantly enhances Disney animation, which is a
critical creative engine for driving growth across our
businesses. This investment significantly advances our
strategic priorities, which include - first and foremost -
delivering high-quality, compelling creative content to
consumers, the application of new technology and global
expansion to drive long-term shareholder value."
Pixar President Ed Catmull will serve as President of the
new Pixar and Disney animation studios, reporting to Iger
and Dick Cook, Chairman of The Walt Disney Studios. In
addition, Pixar Executive Vice President John Lasseter will
be Chief Creative Officer of the animation studios, as well
as Principal Creative Advisor at Walt Disney Imagineering,
where he will provide his expertise in the design of new
attractions for Disney theme parks around the world,
reporting directly to Iger. Pixar Chairman and CEO Steve
Jobs will be appointed to Disney's Board of Directors as a
non-independent member. With the addition of Jobs, 11 of
Disney's 14 directors will be independent. Both Disney and
Pixar animation units will retain their current operations
and locations.
"Disney and Pixar can now collaborate without the barriers
that come from two different companies with two different
sets of shareholders," said Jobs in the release. "Now,
everyone can focus on what is most important, creating
innovative stories, characters and films that delight
millions of people around the world."
"Pixar's culture of collaboration and innovation has its
roots in Disney Animation. Our story and production
processes are derivatives of the Walt Disney 'school' of
animated filmmaking," said Dr. Catmull in the release. "Just
like the Disney classics, Pixar's films are made for family
audiences the world over and, most importantly, for the
child in everyone. We can think of nothing better for us
than to continue to make great movies with Disney."
The acquisition brings to Disney the talented creative teams
behind the tremendously popular original Pixar blockbusters,
who will now be involved in the nurturing and future
development of these properties, including potential feature
animation sequels. Pixar's 20-year unrivaled creative track
record includes the hits Toy Story, Toy Story 2, A Bug's
Life, Monsters, Inc., Finding Nemo and The Incredibles.
Disney will also have increased ability to fully capitalize
on Pixar-created characters and franchises on high-growth
digital platforms such as video games, broadband and
wireless, as well as traditional media outlets, including
theme parks, consumer products and live stage plays.
"For many of us at Pixar, it was the magic of Disney that
influenced us to pursue our dreams of becoming animators,
artists, storytellers and filmmakers," said Lasseter in the
release. "For 20 years we have created our films in the
manner inspired by Walt Disney and the great Disney
animators - great stories and characters in an environment
made richer by technical advances. It is exciting to
continue in this tradition with Disney, the studio that
started it all."
"The wonderfully productive 15-year partnership that exists
between Disney and Pixar provides a strong foundation that
embodies our collective spirit of creativity and
imagination," said Cook in the release. "Under this new,
strengthened animation unit, we expect to continue to grow
and flourish."
Disney first entered into a feature film agreement with
Pixar in 1991, resulting in the release of Toy Story, which
was hailed as an instant classic upon its release in
November 1995. In 1997, Disney extended its relationship
with Pixar by entering into a co-production agreement, under
which Pixar agreed to produce on an exclusive basis five
original computer-animated feature films for distribution by
Disney. Pixar is currently in production on the final film
under that agreement, Cars, to be distributed by Disney on
June 9.
The Boards of Directors of Disney and Pixar have approved
the transaction, which is subject to clearance under the
Hart-Scott-Rodino Antritrust Improvements Act, certain
non-United States merger control regulations, and other
customary closing conditions. The agreement will require the
approval of Pixar's shareholders. Jobs, who owns
approximately 50.6% of the outstanding Pixar shares, has
agreed to vote a number of shares equal to 40% of the
outstanding shares in favor of the transaction.
The Disney Board was advised by Goldman, Sachs & Co. and
Bear, Stearns & Co. The Pixar Board was advised by Credit
Suisse.
Separately, the Disney Board approved the repurchase of
approximately 225 million additional shares, bringing the
Company's total available authorization to 400 million
shares. Since August 2004 through the end of December 2005,
Disney has invested nearly $4 billion to purchase nearly 155
million shares. Disney anticipates further significant share
repurchases going forward, reflecting Disney's continued
commitment to returning value to shareholders over time.
* Based on Disney's closing share price of $25.52 as of
1/23/06.

Distract Yourself from Stress
It's getting close to Easter and a four-day week isn't my
idea of a relaxing, calming, helpful time frame in a very
busy Internet business! So as I found myself faced with
many requests for Meniere's information, another batch
from other sources, I moved faster and faster
until I
caught myself making some silly mistakes.
So I stepped back and took a deep breath, did my
Power Pause exercise, and took stock of my workload.
Yes, it's too much for one person to deal with, but I
decided that anyone, who had taken the time and energy
to write, deserved a better response than I was giving in
such a hurry. (I didn't mention the non-Internet things,
which were also requiring my attention.)
My point? When I get to a stage where I need to break
my negative pattern, I am prepared with my Power Pause.
It helps me release the stress and deal with the problem
facing me. Everyone should be PREPARED with something
similar that distracts your attention, shifts the focus to
something more empowering, and spend a few minutes
or even seconds in a more relaxed and positive mood.
There are many things you could use, but the point is that
if you don't want to build up your blood pressure to
dangerous levels and frequencies, you NEED to distract
yourself. You need to have something ready, as you don't
know when you might need it. So find your quiet spot in
your imagination, feel yourself relaxing, and see yourself
in having achieved some wonderful goal! Enjoy the trip!

It was clear the elders were somewhat nervous. This kind
of thing just doesn't happen to people.
Mombudo spoke to them. They felt at least on an even
footing with Mombudo, who was around their age and level of
experience.
"What is this that you can do this. How can you keep my
cup full even when I have drunk out of it. Where did it come
from. I see no one get cups or pour any juice. Explain this
that I might know what is happening."
Those that lived by higher law broadcast love unto the
elders. They began to settle.
Billy answered, for it was he who first offered the
invitation to the elders and this new hut was recognized as
his home. "First of all let us look at whether it is good or
bad. It was I who materialized this cup and the contents.
Does it hurt you? Will it harm you? Or is your concern only
that you do not know how it happened?"
"It not hurt and I do not think it will harm. It tastes
good but where it come from?"
"Do you believe in a God?"
"Yes."
"Then that is where it has come from. We have learned
that God lives in us, inside us. We have found a way to go
inside and speak with God. When we did that we were shown
how we can do these things. That is why it is good."
"But can you harm people, make us do what we don't want
to do?"
"You asked me that question once before. The answer is
yes, we can. But before you pass judgement on that maybe you
should learn some of the laws first. We have two great laws
by which we live. The first is to love our God more than
anything else, that we permit nothing to come between us and
our Maker. The next law is the law that produced your drink
and the law that governs the universe, even your very own
life. The law is 'As ye sow, so shall ye reap.' That law
means that if I do harm to you then harm shall come unto me
in a big way. That is why you always feel love from me and
that is why I and all these people here wish only to serve
you. We will never harm you because we do not want that harm
to come upon us. Do you understand that law?"
"I . . . I not sure."
"It means that what we do unto others comes back to
haunt us. If we do harm to others then harm will come back
to us in one way or another. If we love others and help
others then love and help will come back to us. It does not
mean that if I help you then you will help me. It means that
if I help everyone I can then my life will be calm, peaceful
and full of love. That is the kind of life I want. If I
spend my time harming others then my life will be filled
with contention, strife, shortages, unrest, conflict. I do
not want that kind of life."
"I understand that. We have some in this village who
live like that. They not happy. When I look I see you right.
We have some in village who help everyone. They happy.
Things good for them. Those who fight not happy. Things go
bad for them. I understand the law."
"Good, Then the only thing you now need to understand is
we are able to go inside and with our Maker's help we are
able to use the law in a spiritual sense. When we do that we
are able to make things happen, like get you a beverage to
drink."
"That all you do? Use the law inside?"
Billy replied. "That is all I do. That is how Sonora has
kept your water clean, clear and plentiful. That is how we
know you will not run out of water. That is why this village
has not been hit by warlords with guns coming in to take
your young men away or your young women. Miss Sonora has
kept those kind from coming here. That is why your village
is a peaceful village. She has not tried to impose her
teachings on you for you have shown yourselves to be afraid
of her. You did not understand her. So long as Kenyata,
Mombudo, Sonora, Hemno or I live in this village it will not
be attacked, it will be a peaceful place to live. You will
also have as much water, good water, as you need."
"Why we no see this before?"
"Because you were afraid. When you fear something you
shy away from it, you do not trust it, you do not want
anything to do with it. That is why you stayed away and did
not want to have anything to do with this family. You were
afraid. You came around only when your medicine man was
unable to help. You came only as the very last attempt. When
this family helped you then you left, once more afraid they
had used black magic or some other evil thing to help. It is
only when you love and open up to new ideas that you can
grow, live in peace and flourish. You have shown great
courage to come here this day. Yet, I think you have been
well rewarded with knowledge and with peace."
"That true. I no longer afraid. I see you do good and I
want to help. We want village to always have good. We not
understand you have kept away evil men, Miss Sonora. We
thank you. When we look at it we know of wars and fighting
in the villages around us. We are thankful we are able to
live in peace. I tell the elders what has happened this
night and they will be glad to come visit. It is good to
have someone so wise as you live among us."
The elders both nodded and put their cups down beside
them. The moment they removed their hands the cups
disappeared. They looked at Billy with questioning eyes.
Billy laughed and they laughed too. All was well in this
village when men are willing to learn the way.
